Do you want to be a shareholder?
a) A Private Limited Liability registered in Kenya under the Company’s Act CAP 486 is looking for a Strategic Investor willing to inject Capital in return for shareholding in the company and later on earn annual dividends in proportion to their percentage shareholding at the close of each financial year.
b) The nominal share capital of the company is Shs. 3,500,000/= divided into 100,000 Ordinary Shares of Shs. 35/= each.
c) The company has three registered shareholders:
i) The Principal Shareholder has 85,000 shares equivalent to 85%;
ii) The Second shareholder has 10,000 shares equivalent to 10% while;
iii) The Third shareholder has 5,000 shares equivalent to 5% as set out in the Company’s duly registered Memorandum and Articles of Association.
d) The Company wishes to transfer 10,000 shares from the Principal Shareholder to a third party (willing buyer) in return for a consideration equal to the nominal value of Kshs. 350,000/= (i.e. 10,000 x 35/=).
